You agree to indemnify, defend and hold harmless startuphouz.com, its officers, directors, employees, agents, licensors, suppliers and any third party information providers to the Service from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of this Agreement (including negligent or wrongful conduct) by you or any other person accessing the Service.

4. THIRD PARTY RIGHTS
The provisions of paragraphs 2 (Use of the Service), and 3 (Indemnification) are for the benefit of startuphouz.com and its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Service. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

5. TERMS TERMINATION
This Agreement may be terminated by either party without notice at any time for any reason. The provisions of paragraphs 1 (Copyright, Licenses and Idea Submissions), 2 (Use of the Service), 3 (Indemnification), 4 (Third Party Rights) and 6 (Miscellaneous) shall survive any termination of this Agreement.

6. MISCELLANEOUS
This Agreement shall all be governed and construed in accordance with the laws of India applicable to agreements made and to be performed in India. You agree that any legal action or proceeding between startuphouz.com and you for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in India . Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. startuphouz.com's failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. startuphouz.com may assign its rights and duties under this Agreement to any party at any time without notice to you.

Any rights not expressly granted herein are reserved.

At Startuphouz, we place a major emphasis on maintaining confidentiality of Client information and Information Security Management. The following are key features of our Confidentiality Agreement, applicable to all our clients.
i.   We do not disclose any information pertaining to our Clients to any third parti
ii.   We do not use our Clients identity or Clients brand for our marketing purposes, without their written consent.
iii.  We never provide our Client's name or Client's information to other prospective clients for marketing purposes.
iv.  We do not sell or disclose our Client list or Client Information to third parties.

CONFIDENTIALITY AGREEMENT

It is understood and agreed to that anStartuphouz Client may provide certain information that is and must be kept confidential. To ensure the protection of such information, and to preserve any confidentiality necessary under patent and/or trade secret laws, it is agreed that:

1. The Confidential Information to be disclosed can be described as and includes Invention description(s), technical and business information relating to proprietary ideas and inventions, ideas, patentable ideas, trade secrets, drawings and/or illustrations, patent searches, existing and/or contemplated products and services, research and development, production, costs, profit and margin information, finances and financial projections, customers, clients, marketing, and current or future business plans and models, regardless of whether such information is designated as "Confidential Information" at the time of its disclosure.

2. Startuphouz shall limit disclosure of Confidential Information within its own organization to its directors, officers, partners, members, employees and/or independent contractors (collectively referred to as "affiliates") having a need to know. Startuphouz and affiliates will not disclose the confidential information obtained from the discloser unless required to do so by law.

3. This Agreement imposes no obligation upon Startuphouz with respect to any Confidential Information (a) that was in Startuphouz possession before receipt from Startuphouz Client; (b) is or becomes a matter of public knowledge through no fault of Startuphouz; (c) is rightfully received by Startuphouz from a third party not owing a duty of confidentiality to the Startuphouz Client; (d) is disclosed without a duty of confidentiality to a third party by, or with the authorization of Startuphouz; (e) is public knowledge or the information is available in public domain; or (f) is independently derived by Startuphouz.

4. This Agreement states the entire agreement between Startuphouz and Startuphouz Client concerning the disclosure of Confidential Information. Any addition or modification to this Agreement must be made in writing and signed by the parties.

5. If any of the provisions of this Agreement are found to be unenforceable, the remainder shall be enforced as fully as possible and the unenforceable provision(s) shall be deemed modified to the limited extent required to permit enforcement of the Agreement as a whole.

6. You are solely responsible any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by you, as explained above, and may incur criminal or civil liability.

At Startuphouz, we take pride in the services delivered by us and guarantee your satisfaction with our services and support. We constantly improve and strive to deliver the best accounting, financial or secretarial services through the internet. However, in case you are not satisfied with our services, please contact us immediately and we will correct the situation, provide a refund or offer credit that can be used for future Startuphouz orders.

REFUND POLICY
When a payment of fee is made to Startuphouz, the fees paid in advance is retained by Startuphouz in a client account. Startuphouz will earn the fees upon working on a client's matter. During an engagement, Startuphouz earns fee at different rates and different times depending on the completion of various milestones (e.g. providing client portal access, assigning relationship manager, obtaining DIN, Filing of forms, etc.,). Refund cannot be provided for earned fee because resources and man hours spent on delivering the service are non-returnable in nature. Further, we can't refund or credit any money paid to government entities, such as filing fees or taxes, or to other third parties with a role in processing your order. Under any circumstance, Startuphouz shall be liable to refund only upto the fee paid by the client

REFUND REQUEST
Refund request can be initiated through help@Startuphouz.com or create a refund request ticket. All refund requests must be made within 60 days of purchase. We will process your request within 15 to 25 business days of receiving all the information required for processing refund like reason for refund, bank details for processing request, etc.

CHANGE OF SERVICE
If you want to change the service you ordered for a different one, you must request this change of service within 60 days of purchase. The purchase price of the original service, less any earned fee and money paid to government entities, such as filing fees or taxes, or to other third parties with a role in processing your order, will be credited to your Startuphouz account. You can use the balance credit for any other Startuphouz service.

STANDARD PRICING
Startuphouz has a standard pricing policy wherein no additional service fee is requested under any circumstance. However, the standard pricing policy is not applicable for an increase in the total fee paid by the client to Startuphouz due to increase in government fee or fee incurred by the client for completion of legal documentation or re-filing of forms with the government due to rejection or resubmission. Startuphouz is not responsible or liable for any other cost incurred by the client related to the completion of the service.

FACTORS OUTSIDE OUR CONTROL
We cannot guarantee the results or outcome of your particular procedure. For instance, the government may reject a trademark application for legal reasons beyond the scope of Startuphouz service. In some cases, a government backlog or problems with the government platforms (e.g. MCA website, Income Tax website, FSSAI website) can lead to long delays before your process is complete. Similarly, Startuphouz does not guarantee the results or outcomes of the services rendered by our Associates, who are not employed by Startuphouz. Problems like these are beyond our control and are not covered by this guarantee or eligible for refund. Hence, delay in processing of your file by the Government cannot be a reason for refund.

FORCE MAJEURE
Startuphouz shall not be considered in breach of its Satisfaction Guarantee policy or default under any terms of service, and shall not be liable to the Client for any cessation, interruption, or delay in the performance of its obligations by reason of earthquake, flood, fire, storm, lightning, drought, landslide, hurricane, cyclone, typhoon, tornado, natural disaster, act of God or the public enemy, epidemic, famine or plague, action of a court or public authority, change in law, explosion, war, terrorism, armed conflict, labor strike, lockout, boycott or similar event beyond our reasonable control, whether foreseen or unforeseen (each a "Force Majeure Event").

CANCELLATION FEE
Since we're incurring costs and dedicating time, manpower, technology resources and effort to your service or document preparation, our guarantee only covers satisfaction issues caused by Startuphouz - not changes to your situation or your state of mind. In case you require us to hold the processing of a service, we will hold the fee paid on your account until you are ready to commence the service.
Before processing any refund, we reserve the right to make best effort to complete the service. In case, you are not satisfied with the service, a cancellation fee of 20% + earned fee + fee paid to government would be applicable. In case of change of service, the cancellation fee would not be applicable.
